2. Services Provided - Watson IT Solutions Inc. provides managed IT services, including but not limited to IT support, network management, cybersecurity solutions, and cloud services. The scope of services is outlined in individual service agreements.

3. Client Responsibilities - Clients are responsible for providing necessary access, accurate information, and timely communication to facilitate service delivery. Clients must adhere to security best practices and Watson IT Solutions Inc.'s recommendations.

4. Fees and Payment - All fees for services will be outlined in the service agreement. Payments are due as specified in the agreement. Late payments may incur penalties or service suspension.

5. Confidentiality - Both parties agree to maintain the confidentiality of proprietary information shared during service engagements. Watson IT Solutions Inc. will take reasonable measures to protect client data.

6. Service Level Agreements (SLAs) - Service response times and performance guarantees will be defined in specific SLAs. Watson IT Solutions Inc. will strive to meet these commitments but is not liable for delays caused by third parties or force majeure events.

7. Liability and Indemnification - Watson IT Solutions Inc. is not liable for any indirect, incidental, or consequential damages. Clients agree to indemnify Watson IT Solutions Inc. against any claims resulting from misuse of services.

8. Termination - Either party may terminate the agreement with a written notice as specified in the service contract. Upon termination, clients must settle outstanding balances, and Watson IT Solutions Inc. will return or delete client data as per the agreement.

9. Amendments - Watson IT Solutions Inc. reserves the right to update these terms. Clients will be notified of significant changes.

10. Governing Law - These Terms and Conditions shall be governed by the laws of the applicable jurisdiction where Watson IT Solutions Inc. operates.
